PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEB SITE. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS IN THIS TERMS OF USE, YOU MAY NOT USE THIS WEB SITE IN ANY MANNER.

This web site, and all other web pages and channels owned, controlled and/or operated by Intl News Media, LLC (“INM”) where these Terms of Use are posted (“the INM Network”) is provided by INM for informational purposes only. These Terms of Use govern your use of any Web site, Web page or related service within the INM Network. By using the INM Network or downloading information or materials from the INM Network, you agree to abide by the terms of use set forth below (the “Terms of Use”) and the Privacy Policy.

The content of the INM Network relates to products and services offered by INM. This content is provided for your general information only and is not intended to provide investment or technical advice. The INM Network is not intended to provide instruction on the appropriate use of products and services that are being developed or produced by INM or its affiliates, related companies, licensors or partners.

The INM Network is not intended for, nor is it designed to attract, children under the age of 13. INM does not knowingly solicit, collect or attract personal information from or about children.

Changes to the Terms of Use.
INM reserves the right, at its sole discretion, to change, update, add or remove any portion of these Terms of Use at any time by posting the changes to the Terms of Use on the INM Network, which will be effective immediately. Please review the Terms of Use each time you visit the INM Network. Your continued use of the INM Network after any changes to the Terms of Use are posted will be considered acceptance of such changes.

Intellectual Property Rights – Limited License.
INM grants you a non-exclusive, non-transferable, limited right to access, use and display the INM Network and the information and materials provided on the INM Network or available through INM’s services (collectively referred to as “Information”) for personal and non-commercial purposes only pursuant to the terms and conditions of the Terms of Use. Title to the Information remains with INM or with the respective authors of such Information at all times.

INM authorizes you to view and download the Information only for your personal, non-commercial use. This authorization is not a transfer of title in the Information or any copies of the Information and is subject to the following restrictions: 1) you must retain, on all copies of the Information downloaded, all copyright, trademark, logo and other proprietary notices contained in the Information; and 2) you may not modify the Information in any way or reproduce or publicly display, distribute or otherwise use the Information for any public or commercial purpose. You agree to abide by all additional restrictions displayed on the INM Network as they may be updated from time to time. The INM Network, including all Information, is protected by copyright, trademark and other laws. You agree to comply with all copyright laws worldwide in your use of the INM Network and to prevent any unauthorized copying of the Information. Except as expressly provided herein, INM does not grant any express or implied right to you under any patents, trademarks, copyrights or trade secret information.

“Intl News Media” and “IntlNewsMedia.com” are a registered trademarks of Intl News Media, LLC. All other trademarks used in connection with the INM Network are the property of their respective owners. All such INM and other trademarks are protected by United States and foreign trademark laws. An ® following a name on the INM Network indicates that the trademark has been registered in the United States. A ™ following a name on the INM Network indicates that it is an unregistered trademark. You agree not to display or use logos, trademarks or service marks owned by INM in any manner without our prior written permission.

If you use the Information or the INM logos, trademarks or service marks in a way that is not clearly allowed by these Terms of Use, you are violating these Terms of Use and may be violating copyright, trademark, and other laws. In that case, INM automatically revokes your permission to use the INM Network and any related services. All rights not expressly granted herein are reserved by INM.

Use of Software.
Any software and related documentation that may be made available from the INM Network (the “Software”) are subject to and governed by a separate license agreement between you and IMN. Nothing on the INM Network shall be construed as conferring any license under any of INM’s or any third-party licensor’s intellectual property rights to use the Software, whether by estoppel, implication, or otherwise, unless expressly stated to the contrary.

All rights, title and interest not expressly granted are reserved. Except as otherwise expressly set forth in the Terms of Use or in a separate written agreement between INM and you, you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell the Software obtained from the INM Network without written permission from IMN.

Use of Forums and Submissions to INM.
“Forum” means the user forum located at http://www.e4um.net and any other chat room, bulletin board, news group, blog, or user forum offered as part of the INM Network. Although portions of the INM Network may be viewed simply by visiting the INM Network, you must register as a user of a Forum as indicated on such Forum’s web page before you will be allowed to contribute or post any information or other material to a Forum. You many register for only one Forum account, and use no more than one Forum account at any given time. Forums shall be used in a noncommercial manner only and you shall not distribute or otherwise publish any content containing a promotion, advertising, solicitation for goods or services, or other commercial matter. Except where expressly authorized by IMN, you agree not to harvest personal data about other users. Any personally identifiable information you may provide to INM when registering for a Forum is protected by the Privacy Policy associated with the INM Network.

You agree that any information or other material that you post on a Forum and any correspondence that you submit and/or post to the INM Network (collectively “Submissions”): (a) shall not be fraudulent or intentionally misleading or inaccurate; (b) shall not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (c) shall not violate any law, statute, ordinance or regulation; (d) shall not be defamatory, libelous, unlawfully threatening or unlawfully harassing; (e) shall not be intentionally malicious or derogatory toward INM or any INM advertiser or licensor unless such information or other material can be supported by documented facts; (f) shall not be harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, or contain pornography or racially, ethnically or otherwise objectionable material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offense; and (g) shall not constitute unsolicited mass distribution of e-mail, spam, or chain letters. Submissions do not reflect the views of INM, its parent, subsidiary or affiliated companies or its employees, officers, directors or shareholders, and INM assumes no responsibility or liability for Submissions.

You hereby grant to INM a perpetual, royalty-free, irrevocable, nonexclusive, sublicenseable right and license to use, reproduce, modify, adapt, publish, transmit and distribute your Submissions and any derivative works thereof, and you further agree that INM is free to use any ideas, concepts or know-how that you provide to INM via the INM Network. These Terms of Use, together with any applicable additional Terms of Service posted in connection with a part of the Site, govern your use of the INM Network and all services and products in connection with INM Network.

You agree that INM has no responsibility or liability for the deletion or failure to store any Submissions through the INM Network. INM reserves the right to (i) terminate your membership and access, and (ii) remove your Submissions if INM learns that you have provided INM with false or misleading registration information.

Third Party Links.
The INM Network may contain links to web sites not operated by INM. These links are provided for your convenience, but INM does not review, control, or monitor the materials on any other web sites. INM makes no warranty or representation regarding, is not responsible for, and does not endorse, any linked web sites or any information appearing on, products or services described on, or security or privacy practices employed by such linked web sites. Links do not imply that INM or the INM Network sponsors, endorses or is affiliated or associated with the entities operating the linked web sites, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any linked web site is authorized to use any trademark, trade name, logo or copyright symbol of INM.

Termination of Use.
You agree that INM may, in its sole discretion, at any time terminate this Agreement, or terminate or suspend your access to the INM Network and use of any related services at any time, with or without cause, with or without notice.. Upon such termination or suspension, your right to use the INM Network will immediately cease. Access to the INM Network may be monitored by INM.

Passwords and Security.
You are responsible for maintaining the confidentiality of any password(s) you are given to access the INM Network, and are fully responsible for all activities that occur under your password(s). You agree to notify INM immediately of any unauthorized use of your password(s). You agree that INM is not liable in any manner for any loss or damage arising from your failure to maintain the confidentiality of your password.

No Unlawful or Prohibited Use.
As a condition of your use of the INM Network, you will not use the INM Network for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not: (a) use the INM Network in any manner that could damage, disable, overburden, or impair the INM Network, any INM server, or the network(s) connected to any INM server, or interfere with any other party’s use and enjoyment of the INM Network; (b) attempt to gain unauthorized access to the INM Network, materials, other accounts, computer systems or networks connected to any INM server or to the INM Network, through hacking, password mining or any other means; (c) obtain or attempt to obtain any materials or information through any means not intentionally made available through the INM Network; (d) use any materials or information obtained from the INM Network to contact, harass, abuse or harm any other person or to advertise to, solicit, or sell to any other person; (e) use any robot, spider, other automatic device or manual process to monitor or copy the INM Network or the materials, information or content contained therein without INM’s prior express written consent; or (f) “frame” or otherwise alter or modify the appearance of the INM Network or any of its content without INM’s prior express written consent. INM reserves the right to investigate any occurrence or alleged occurrence of the foregoing unlawful or prohibited acts and to proceed with appropriate legal action, whether criminal or civil, in the event of a violation.

Disclaimer and Limitation of Liability.
THE INM NETWORK AND THE INFORMATION MAY CONTAIN INACCURACIES AND TYPOGRAPHICAL OR OTHER ERRORS. INM DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, SUBMISSIONS OR ANYTHING ON THE INM NETWORK OR THE RELIABILITY OF ANY SUBMISSIONS, ADVICE, OPINION, STATEMENT OR OTHER INFORMATION DISPLAYED, DISTRIBUTED OR ACCESSED THROUGH THE INM NETWORK. YOU ACKNOWLEDGE THAT ANY RELIANCE ON ANY SUCH OPINION, ADVICE, STATEMENT OR INFORMATION SHALL BE AT YOUR SOLE RISK. INM RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CORRECT ANY ERRORS OR OMISSIONS IN ANY PORTION OF THE INM NETWORK. INM MAY MAKE ANY OTHER CHANGES TO THE INM NETWORK AND THE INFORMATION AT ANY TIME WITHOUT NOTICE.

INM MAKES NO WARRANTY REGARDING ANY GOODS, SERVICES, ANNOUNCEMENTS, CONTENT, TOOLS OR PRODUCTS PURCHASED OR OBTAINED THROUGH THE INM NETWORK OR ANY TRANSACTIONS ENTERED THROUGH THE INM NETWORK, UNLESS OTHERWISE SPECIFIED IN WRITING. INM IS NOT RESPONSIBLE FOR ANY CONTENT ON THE INTERNET OUTSIDE THE INM NETWORK. INM MAKES NO REPRESENTATIONS AS TO THE QUALITY, SUITABILITY, FUNCTIONALITY OR LEGALITY OF ANY WEB SITES TO WHICH INM MAY PROVIDE LINKS, AND YOU HEREBY WAIVE ANY CLAIM YOU MIGHT HAVE AGAINST INM WITH RESPECT TO SUCH SITES.

INM PROVIDES THE INM NETWORK AND ALL CONTENT, INFORMATION AND DATA CONTAINED THEREIN ON AN “AS IS” BASIS, AND INM EXPRESSLY DISCLAIMS ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.

YOU AGREE THAT IN NO EVENT SHALL INM OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE TO ANY PERSON OR ENTITY UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM) RELATED TO YOUR USE OR INABILITY TO USE THE INM NETWORK OR THE INFORMATION, CONTENT OR FUNCTIONS OF THE INM NETWORK OR ANY LINKED WEB SITE, EVEN IF INM IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You may terminate your obligations under these Terms of Use at any time by terminating your access to and use of the INM Network. INM’s proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any such termination. Your sole and exclusive remedy under these Terms of Use is to terminate these Terms of Use and to discontinue accessing and using the INM Network if INM breaches these Terms of Use or if you are dissatisfied with the INM Network or with any term or condition of these Terms of Use.

Indemnity.
You agree to indemnify, defend, and hold harmless INM and its officers, directors, employees, agents and suppliers against any and all claims, liabilities, damages, losses or expenses (including reasonable attorney’s fees and costs) arising out of, based on, or in connection with your access and/or use of the INM Network.

INM Network Availability and Changes.
The INM Network may be unavailable from time to time due to mechanical, technical, software, hardware or third party vendor failures, updating or construction. INM cannot predict or control when such downtime may occur and cannot control the duration of such downtime. INM may terminate, change, suspend or discontinue any aspect of the INM Network, including the availability of any features of the INM Network, at any time. INM may also impose limits on certain features and services or restrict your access to parts or all of the INM Network without notice or liability. INM may terminate the authorization, rights and license given above at any time, and, upon such termination, you agree immediately to destroy all Information.

Notice for Making Claims of Copyright Infringement.
INM will investigate notices of copyright infringement alleged to be occurring on the INM Network and take appropriate actions under the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c)(2) (“DMCA”). Pursuant to the DMCA, written notification of claimed copyright infringement must be submitted to the following Designated Agent for the INM Network:

Report the Copyright Infringement by completing this form.

To be effective, the notification must include the following: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single INM Network are covered by a single notification, a representative list of such works at that INM Network; (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit INM to locate the material; (d) information reasonably sufficient to permit INM to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted; (e) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

You acknowledge that INM may or may not pre-screen Forum Submissions, but that INM and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Submission that violates the INM terms or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with the use of any Submission, including any reliance of the accuracy, completeness, or usefulness of such Submission.

International Users.
The INM Network is controlled, operated and administered from offices within the United States. INM makes no representation that any of the Information is appropriate or available for use at locations outside of the United States. Access to the INM Network or the Information from territories where the content of the INM Network is illegal is prohibited. You may not use the INM Network or export the Information in violation of United States export laws and regulations. If you access the INM Network from a location outside of the United States, you are responsible for compliance with all local laws, rules and regulations.

Miscellaneous.
These Terms of Use constitute the entire agreement between you and INM with respect to your access and use of the INM Network and INM’s products and services and supercede all prior or contemporaneous agreements (whether oral, written or electronic) between you and INM with respect to the INM Network or INM’s products and services. If any of the provisions of the Terms of Use are determined to be invalid or unenforceable, then each invalid or enforceable provision will be construed in a manner consistent with applicable laws to reflect, as nearly as possible, the original intentions of the parties, and the remaining provisions shall remain in full force and effect. The Terms of Use and the Privacy Policy shall be governed by, as applicable, United States federal laws or the laws of the State of California, U.S.A., without giving effect to its conflict of laws provisions. You agree and irrevocably consent to the exclusive and sole jurisdiction of and venue in the courts located in Orange County, California. The failure of INM to exercise or enforce any right or provision of the Terms of Use does not constitute a waiver of such right or provision.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the INM Network, any related services or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.
